AGREEMENT ON PARTICIPATION IN ONLINE CASINO GAMBLING (OFFER)

This public offer agreement (hereinafter referred to as the “Agreement”) is a public offer by Limited Liability Company “LIMON” (USREOU code 43618640), a legal entity registered under the laws of Ukraine, operating under the license for organizing and conducting online casino gambling dated September 30, 2021, issued by the Commission for Regulation of Gambling and Lotteries (CRGL), decision No. 603 dated September 27, 2021, via the website https://championcasino.ua/ (hereinafter referred to as the “Website”) and/or the ChampionCasino mobile (software) application (hereinafter referred to as the “Mobile Application”) (hereinafter referred to as the “Organizer”), on the one hand, and any individual who, at the time of accepting this Agreement:

● has reached the age of 21;
● has full legal capacity;
● does not suffer from gambling addiction (ludomania) and is not listed in the Register of persons restricted from access to gambling establishments and/or participation in gambling;
● is not under the influence of alcohol or drugs;
● has no restrictions under the law or this Agreement, in particular, restrictions set forth by Ukrainian legislation on the prevention and counteraction of legalization (laundering) of proceeds of crime, financing of terrorism, and financing the proliferation of weapons of mass destruction, as well as regarding the prevention of gambling addiction (ludomania);
● is not located in a territory not controlled by Ukraine or temporarily occupied territory of Ukraine;
● is not a person deemed by the Organizer to be an Undesirable Player in accordance with the Organizer’s Rules;
● voluntarily uses the Organizer’s services, acknowledges that participation in gambling is solely their own decision, made voluntarily, without coercion, and with full understanding of the potential consequences;
● confirms full agreement with the terms of this Agreement from the moment of creating a Personal Account on the Website or in the Mobile Application (acceptance of the offer), which may further include placing a bet (hereinafter referred to as the “Player”),on the other hand, (hereinafter jointly referred to as the “Parties”, and individually as a “Party”),
have entered into this Agreement as follows:

1. GENERAL PROVISIONS

This Agreement is concluded in accordance with Articles 205, 634, 641, and 642 of the Civil Code of Ukraine as an adhesion contract and becomes legally binding upon the Player’s acceptance of the terms of this public offer by placing their first bet in a gambling game.

All provisions of the Agreement are open and accessible to the Player prior to their acceptance. Acceptance constitutes the Player’s full, unconditional, and unreserved agreement to all provisions of this Agreement, the Organizer’s Gambling Rules and Terms (hereinafter referred to as the “Rules”), the Privacy Policy, and other public documents published on the Organizer’s Website.

This Agreement has legal force without the need to sign a written copy and is considered concluded from the date the Organizer accepts a Bet in a gambling game from the Player.

2. TERMS AND DEFINITIONS

The following terms are used in this Agreement with the meanings as set forth below:

Agreement — this public contract (offer), which defines the terms of participation of individuals in online casino gambling, concluded between the Organizer and the Player in accordance with Article 634 of the Civil Code of Ukraine.

Organizer — Limited Liability Company “LIMON” (USREOU code 43618640), engaged in organizing and conducting online casino gambling based on the license for organizing and conducting online casino gambling dated September 30, 2021, issued by the Commission for Regulation of Gambling and Lotteries (CRGL), decision No. 603 dated September 27, 2021.

Player — any individual who meets the requirements established by this Agreement and the current legislation of Ukraine, and who has voluntarily accepted this Agreement.

Player with “Undesirable” status — a Player who, by decision of the Organizer, has been deemed to have violated the Law of Ukraine “On State Regulation of Activities on Organizing and Conducting Gambling,” the Organizer’s Rules, and/or principles of responsible gaming, and/or poses risks to the Organizer’s activities, and/or is subject to reasonable suspicion, and/or hinders the receipt of In-Game Winnings, the payment of Winnings (prizes), insults the dignity and honor of other Players and/or the Organizer’s employees, refuses to undergo the identification procedure (verification, data confirmation), and/or performs other actions for which their access to the Personal Account is temporarily or permanently restricted.

Website — the Organizer’s official website located at: https://championcasino.ua/, through which the organization and conduct of online casino gambling is carried out.

Mobile (software) application — the ChampionCasino software application designed for use on mobile devices with various operating systems (iOS, Android, etc.), through which online casino gambling is organized and conducted.

Gambling game — any game that requires the Player to place a Bet as a condition of participation, granting the right to receive a Winning (prize), the probability and size of which depend entirely or partially on chance, as well as the Player’s knowledge and skill.

Bet — electronic monetary substitutes transferred by the Player to the Organizer, which constitute the condition for participation in a Gambling game and determine the size of the potential In-Game Winning in accordance with the rules of the specific game.

Winning (prize) — monetary funds payable to the Player, in an amount representing the positive difference between the Payout amount and the total of payment system commission fees, taxes, and levies withheld in accordance with current legislation and the Organizer’s Rules.

In-Game Winning — the numerical value of electronic monetary substitutes reflecting the Player’s progress in a Gambling game; it is not a Winning (prize) payable in cash, is not considered income, and has no economic consequences.

Payout — a financial transaction ordered by the Player to transfer a specified amount of money from their Game balance (account) to their personal bank account (e.g., refund of Deposit/Bet, payment of Winning (prize), other payments). Electronic monetary substitutes are exchanged for real money at the moment of the Payout. The Payout changes the balance of electronic monetary substitutes in the Player’s Game account.

Electronic monetary substitute — a game-specific substitute for the Ukrainian hryvnia containing information about its nominal value, used to place Bets in Gambling games, exchangeable by the Player for money, and recorded in the Player’s Game account. The Organizer does not sell or exchange electronic monetary substitutes. They are not property, have no inherent value, cannot be exchanged for other currencies, and are used solely to track the course and outcome of Gambling games during the provision of gambling services by the Organizer.

Game balance (account) — part of the Player’s Personal Account showing the amount of electronic monetary substitutes the Player may use to place Bets, initiate Winning (prize) Payouts, or request the return of Deposits made for participation in Gambling games.

Personal Account — a component of the Organizer’s online system that provides the Player with full information about their actions, agreements with the Organizer, Game balance, and contains the data necessary for Player identification.

Organizer’s Gambling Rules — a local regulation adopted by the Organizer that defines the procedures for the organization and conduct of online casino gambling and governs the relationship between the Organizer and the Player.

Applicable legislation of Ukraine — all legal and regulatory acts of Ukraine in effect at the time of the conclusion and/or performance of this Agreement, including, but not limited to, the Law of Ukraine “On State Regulation of Activities on Organizing and Conducting Gambling,” the Law of Ukraine “On Prevention and Counteraction to Legalization (Laundering) of Proceeds of Crime, Financing of Terrorism and Financing the Proliferation of Weapons of Mass Destruction,” and other laws, by-laws, and decisions of authorized bodies in the field of gambling.

Other terms are used as defined in the Law of Ukraine No. 768-IX dated July 14, 2020, “On State Regulation of Activities on Organizing and Conducting Gambling.”

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

3.1. Obligations of the Organizer:
3.1.1. Comply with the requirements of the Law of Ukraine “On State Regulation of Activities on Organizing and Conducting Gambling,” the Licensing Conditions for conducting online casino gambling activities, and other regulatory legal acts in the field of gambling.

3.1.2. Comply with the Law of Ukraine “On Prevention and Counteraction to Legalization (Laundering) of Proceeds of Crime, Financing of Terrorism and Financing the Proliferation of Weapons of Mass Destruction,” and other regulatory acts governing anti-money laundering and counter-terrorism financing.

3.1.3. Ensure the protection of the Player’s personal data in accordance with the legislation of Ukraine.

3.1.4. Make timely payments of Winnings (prizes), return Deposits/Bets, and perform other Payouts according to the Organizer’s Rules and applicable Ukrainian law.

3.1.5. Adhere to the principles of Responsible Gaming established by the authorized body and take measures to prevent participation by persons under the age of 21 or otherwise restricted by law.

3.1.6. Comply with the Organizer’s Rules for conducting online casino gambling.

3.1.7. Take measures to combat gambling addiction (ludomania), including placing links on the Website to informational resources on gambling addiction (https://www.gc.gov.ua/ua/Ihrova-zalezhnist-.html) and Responsible Gaming, especially concerning age restrictions, chances of winning, principles of responsible play, and places to seek help.

3.1.8. Review complaints from Players and other persons, including in electronic form, and respond within the timeframes defined in the Rules, but in any case, not later than one month from the date of receipt of the complaint, in accordance with the Law of Ukraine “On Citizens’ Appeals.”
3.1.9. Prohibit participation in Gambling games by an Undesirable Player according to the Organizer’s Rules by blocking the Player’s Personal Account.

3.1.10. Conduct only those types of gambling permitted by law and only after obtaining the appropriate license for such activities.

3.1.11. Issue fiscal receipts to Players upon Deposit and Payout Transactions, in accordance with the Law of Ukraine “On the Use of Registrars of Settlement Operations in Trade, Public Catering, and Services.”

3.1.12. Use certified gaming equipment that prevents unauthorized interference or manipulation of game outcomes.

3.1.13. Refrain from actions that may influence the outcomes of gambling games (this restriction does not apply to publicly announced and paid additional monetary rewards to athletes participating in national or international competitions, including Olympic or Paralympic Games).

3.1.14. Record in the Organizer’s online system every operation related to Bet acceptance, Bet return, Winning (prize) payout, Payout execution, conversion of funds to electronic monetary substitutes and vice versa, and other operations defined by the procedure of the State online monitoring system.

3.1.15. Timely and fully pay Winnings (prizes) in accordance with the Rules and the deadlines established by the Law of Ukraine “On State Regulation of Activities on Organizing and Conducting Gambling” and/or the Organizer’s Rules, except in cases defined by the Law on AML and terrorism financing prevention.

3.1.16. Prohibit payment of Winnings (prizes), return of Bets, or return of Deposits to any third party (on behalf of the Player), including persons designated by the Player to receive such funds, except in cases involving refunds of Bets made by minors, incapacitated persons, or persons with limited legal capacity, or those listed in the Register of persons restricted from gambling, if the claimant is their legal representative.

3.1.17. Keep records of Winnings (prizes) that accumulate progressively depending on the number of Bets placed (cumulative or progressive jackpots), if applicable.

3.1.18. Take measures to prevent violations of the law by Players and staff.
3.2. Rights of the Organizer:

3.2.1. Establish, modify, and publish on the Website the current Rules for participation in gambling, conditions for promotions, bonus programs, and other regulations.

3.2.2. Amend this Agreement by publishing an updated version on the Website.

3.2.3. Require the Player to undergo identification and/or verification and data confirmation in accordance with Ukrainian law and the Organizer's internal policies.

3.2.4. Request additional information or documents to carry out the identification (verification, data confirmation) of the Player.

3.2.5. Temporarily or permanently block the Player's Personal Account in case of violation of the Agreement and/or Rules, Ukrainian law, or if signs of fraud are detected.

3.2.6. Refuse to accept Bets if such action violates Ukrainian law, this Agreement, and/or the Rules.

3.2.7. Refuse to pay Winnings (prizes) or return Bets placed by the Player if grounds exist under the Law of Ukraine “On Prevention and Counteraction to Legalization (Laundering) of Criminal Proceeds, Terrorist Financing, and the Financing of the Proliferation of Weapons of Mass Destruction.”

3.2.8. Declare the Player Undesirable in accordance with the Organizer’s Rules.

3.2.9. Suspend and/or terminate this Agreement unilaterally in case the Player violates its terms, the Rules, or current Ukrainian law.

3.2.10. Set limits on Player deposits to their Game Balance (account) and on Payouts over a specified period (day, week, month) in accordance with the Organizer’s Rules and Ukrainian law.

3.2.11. Exercise other rights granted by the Law of Ukraine “On State Regulation of Activities on Organizing and Conducting Gambling,” the licensing terms for online casino gambling, this Agreement, the Organizer’s Rules, and other relevant laws.
3.3. The Organizer is prohibited from:

3.3.1. Participating in the game or influencing its outcome.

3.3.2. Using uncertified gaming equipment.

3.3.3. Paying out Winnings (prizes), their equivalents, or returning Bets to third parties, including those designated by the Player or those who are not Players.

3.3.4. Accepting Bets from persons under the age of 21.

3.3.5. Accepting Bets from individuals listed in the Register of persons restricted from gambling establishments and/or participation in gambling.

3.3.6. Accepting Bets from individuals subject to legal restrictions, including those established under Ukrainian law regarding anti-money laundering and the prevention of gambling addiction.

3.3.7. Accepting Bets on credit (deferred payment) or with post-payment, except for card payments authorized in advance.

3.3.8. Conducting gambling games without using the Organizer’s online system connected to the State online monitoring system when such use is legally required.

3.3.9. Organizing or conducting gambling without a valid license issued by the authorized body under Ukrainian law.

3.3.10. Conducting gambling on the temporarily occupied territory of Ukraine.

3.3.11. Conducting gambling that does not comply with the applicable laws or the terms of the license.

3.3.12. Violating advertising laws for gambling, including advertising directed at individuals under 21 or vulnerable population groups.

3.3.13. Using in gambling advertisements: individuals under 21, military personnel, volunteers, doctors, other healthcare workers, or anyone resembling them in appearance.

3.3.14. Taking actions that may promote gambling addiction among Players.

3.3.15. Violating other provisions of Ukrainian law regarding gambling.
3.4. Obligations of the Player:

3.4.1. Familiarize themselves with the terms of this Agreement, the Organizer’s Rules, the Privacy Policy, and other documents published on the Website.

3.4.2. Comply with the requirements and obligations stipulated by the Law of Ukraine “On State Regulation of Activities Concerning the Organization and Conduct of Gambling”, the License Conditions for Conducting Activities in the Field of Organization and Conducting Casino Gambling on the Internet, the Rules of the Organizer, this Agreement, as well as other regulatory legal acts in the field of organization and conduct of gambling.

3.4.3. Provide accurate information during identification (verification, data confirmation).

3.4.4. Refrain from fraudulent actions or violations of the Organizer’s Rules.

3.4.5. Guarantee that at the time of concluding the Agreement, the Player is at least 21 years old, fully legally capable, and not listed in the Register of persons restricted from gambling.

3.4.6. Ensure the confidentiality of login credentials to their Personal Account and immediately inform the Organizer of any unauthorized access or attempts.

3.4.7. Adhere to responsible gaming principles. In case of signs of gambling addiction, the Player agrees to immediately stop playing and seek professional help.
3.5. Rights of the Player:

3.5.1. Independently limit their gambling activity by setting personal limits on funds or time spent on gambling.

3.5.2. Use the Personal Account solely for the purpose of participating in gambling.

3.5.3. Set additional passwords to protect their Personal Account from third-party access.

3.5.4. Receive payment of Winnings (prizes), and returns of Deposits/Bets as stipulated in the Agreement.

3.5.5. Submit a request or complaint to the Organizer’s support service, including electronically.

3.5.6. Self-exclude from gambling for a period from six months to three years by submitting a personal request to the Organizer or authorized body in accordance with the Organizer’s Rules.

3.5.7. Terminate this Agreement by sending a corresponding notice to the Organizer’s support service at: [email protected].

3.5.8. Exercise other rights established by these Rules and/or applicable Ukrainian legislation.
3.6. The following individuals are prohibited from participating in gambling:

1. Founders (participants, shareholders) and managers of the gambling Organizer in which they are founders and/or hold management positions;

2. Representatives of founders (participants, shareholders) or managers who represent the founder or hold managerial positions;

3. Individuals who may possess information about the outcome of the gambling game;

4. Individuals who can influence the outcome of the gambling game or the amount of the Winning (prize);

5. Athletes, supporting sports personnel participating in a sporting event, sports officials, and their family members — with respect to betting on the outcome of a sporting event in which they or their team are involved;

6. Officials and employees of the Authorized Body, except for conducting controlled test games.

If any of these individuals participate in gambling despite the prohibition, the Agreement is deemed null and void. Winnings (prizes) under such Agreements shall not be paid.

4. SETTLEMENT PROCEDURE
4.1. General Provisions:

4.1.1. All transactions related to replenishing the Player’s Game Balance (account) and executing Payouts are carried out in the national currency of Ukraine – the hryvnia.

4.1.2. Deposits must be credited within 30 minutes after funds are transferred (the maximum crediting period is 48 hours unless otherwise provided by law and/or the rules of the banking institution).

4.1.3. The Player acknowledges and agrees that all settlements with the Organizer are made in non-cash form through banking institutions that provide money transfer services to the Organizer.

4.1.4. The Organizer has the right to independently select the banking institution for settlements, change it, or alter the terms of cooperation with it without prior notice to the Player.

4.1.5. All transactions for replenishing the Game Balance (account) are considered completed only after the actual receipt of funds by the Organizer and their registration in the internal accounting system.

4.1.6. The Organizer is not responsible for delays or non-receipt of funds to the Player’s Game Balance (account) due to reasons beyond the Organizer’s control, including force majeure circumstances or changes in internal banking procedures.

4.1.7. All funds deposited by the Player to the Game Balance (account), until a Bet is placed, remain the property of the Player, are recorded as electronic monetary substitutes in the Organizer’s online system, and do not constitute a means of payment or goods under Ukrainian law.

4.1.8. The Organizer has the right to refuse acceptance of a Bet or execution of a Payout, and to temporarily suspend or block the Player’s Personal Account in case of any violations of this Agreement, the Organizer’s Rules, and/or applicable Ukrainian law by the Player.

4.1.9. The Organizer has the right to withhold a commission from each Payout (Bet/Deposit refund or Winning (prize) payment) in the amount determined by the Organizer’s Rules, in accordance with the provisions of current Ukrainian legislation.
4.2. Verification and Security:

4.2.1. The Player confirms that they are the rightful owner of the payment instruments used and agrees to provide all documents confirming such ownership for verification purposes.

4.2.2. In case of data mismatch, the Organizer has the right to block the Personal Account and refuse the Player a Payout.

4.2.3. Transactions between Players are prohibited.
4.3. Limitation of Liability:

4.3.1. The Organizer is not liable for delays in Payouts caused by third parties, technical failures, or force majeure circumstances.

4.3.2. If fraudulent activity is suspected or the Player’s Game Balance is funded by third parties, the Organizer may cancel the Player’s Bets, temporarily or permanently block their Personal Account, and assign them the status of “Undesirable.”

4.3.3. For unjustified transactions, the Organizer may impose additional restrictions (a 10% fee, but no less than 100 electronic monetary substitutes per transaction).
4.4. Terms and Fees:

4.4.1. Deposits, commissions and other operating costs are displayed in the Personal Account in the "History" section.

4.4.2. The minimum Deposit amount is 100.00 UAH.

4.4.3. The replenishment must be credited within 30 minutes after the deposit (the maximum term for crediting the replenishment is 48 hours, unless otherwise provided by law and/or the rules of the banking institution).

In case of a delay in replenishing the Game Balance (account), the Player is obliged to contact the Organizer's support service ([email protected]).
4.5. Payouts:

4.5.1. Gambling game results are calculated according to the game rules and/or event results published by official sources.

4.5.2. Payouts (Winnings, Deposit returns) are made based on the Player’s request submitted through the Personal Account using payment methods available on the Website.

4.5.3. Payouts are made only to the payment details belonging to the holder of the Personal Account.

4.5.4. The total Payout period is up to 3 (three) days (72 hours) from the time of request.

4.5.5. The total Payout period may be extended up to 10 business days upon written notice from the Player.

4.5.6. To receive a Payout, the Player must provide the Organizer with their taxpayer registration number (RNOKPP) or a document confirming refusal to obtain it.
4.6. Tax Obligations:

4.6.1. 18% personal income tax (PIT) and 5% military levy are withheld by the Organizer as the tax agent from the Payout amount.

4.6.2. Bank or payment system commissions are paid by the Player through deduction from the Payout by the Organizer.

4.6.3. The minimum Payout amount is 300.00 UAH.

4.6.4. The maximum one-time and/or daily Payout amount is 29,990.00 UAH.

4.6.5. The minimum Deposit amount is 100.00 UAH.

4.6.6. The maximum one-time Deposit amount is 29,990.00 UAH.

4.6.7. The maximum monthly Deposit and/or Payout amount is 399,000.00 UAH.

4.6.8. Payout may be delayed in case of suspected violations by the Player of the Law of Ukraine “On Prevention and Counteraction to Legalization (Laundering) of Criminal Proceeds, Terrorist Financing, and the Financing of the Proliferation of Weapons of Mass Destruction,” or other laws of Ukraine, or in case of suspected fraudulent activity. If such violations are confirmed, the Organizer has the right to refuse the Payout and block the Player’s Personal Account.
4.7. The Organizer has the right to:

4.7.1. Combine or split Transactions;

4.7.2. Set additional limits for Payouts or Deposits;

4.7.3. Apply a service fee of 10% of the Payout amount (but no less than 100 electronic monetary substitutes) in case of unjustified transactions;

4.7.4. Declare a Bet invalid if the Player is found to have engaged in multi-accounting, collusion, fraud, or technical manipulation of the Website and/or Mobile Application;

4.7.5. Display all current terms and fees in the “Payout” section of the Personal Account.

5. INTELLECTUAL PROPERTY
5.1. All proprietary intellectual property rights to the Organizer’s Website/Mobile Application and its elements (including, but not limited to: software code, graphic design, layout, logos, trademarks, images, video and audio materials, texts, etc.) belong to the Organizer or third parties who have granted the Organizer the corresponding usage rights.

5.2. The Player does not acquire any proprietary intellectual property rights to any objects placed on or accessible through the Organizer’s Website/Mobile Application, including during participation in gambling, except for the right to personal, non-commercial use in accordance with this Agreement.

5.3. Any copying, distribution, reproduction, translation, adaptation, modification, public disclosure, transmission, public performance, or other use of intellectual property objects is prohibited without the prior written permission of the Organizer, except where directly permitted by the laws of Ukraine.

5.4. Any attempt to bypass technical or software protection of the Organizer’s Website/Mobile Application is considered copyright infringement and shall result in liability as provided by Ukrainian law.

5.5. In the event of a Player's violation of intellectual property rights, the Organizer has the right to take all necessary legal measures to stop the violation and recover damages, including contacting law enforcement and the courts.

6. LIABILITY OF THE PARTIES

6.1. In the event of non-performance or improper performance of their obligations under this Agreement, the Parties shall be liable within the limits and in the manner provided by the applicable legislation of Ukraine.
6.2. The Organizer shall not be liable to the Player for non-performance or improper performance of obligations if it resulted from the Player’s violation of this Agreement, the Organizer’s Rules, or Ukrainian law.

6.3. The Player is fully responsible for the accuracy and completeness of the data provided during the identification (verification) process, when creating the Personal Account, and when topping up the Game Balance (account).

6.4. The Organizer is not liable for losses or damages incurred by the Player as a result of:

1. untimely updates or incorrect input of personal or payment data by the Player;

2. failure to securely store login credentials;

3. unauthorized use of the Player’s Personal Account by third parties;

4. interruptions in telecommunication, electronic, or information systems beyond the Organizer's control;

5. use of the Website/Mobile App in violation of this Agreement.

6.5. In case of violations of applicable law, this Agreement, or the Organizer’s Rules by the Player, the Organizer has the right to:

1. cancel partially or fully placed Bets;

2. cancel accrued In-Game Winnings and deny Payouts if such winnings are linked to violations (e.g., fraud);

3. block the Player’s Personal Account;

4. impose a penalty up to 100% of the funds deposited by the Player;

5. contact competent state (law enforcement) authorities if grounds exist.

6.6. The Organizer is not liable for data processing delays or transmission errors, or for technical malfunctions of the Website/Mobile App when caused by factors beyond its control.

6.7. The Parties are released from liability for partial or total failure to perform obligations under this Agreement if caused by force majeure circumstances that arose after the Agreement was concluded and could not have been foreseen or prevented.

6.8. Force majeure includes, but is not limited to: natural disasters (earthquakes, floods, fires, etc.), warfare or threat of war, terrorist acts, mass riots, strikes, decisions of government or local authorities, states of emergency, pandemics, epidemics, or interruptions in telecommunications, electricity, or Internet networks beyond the Parties’ control, provided such circumstances directly impact the performance of the Agreement.

6.9. In the event of force majeure, the period for fulfilling obligations is extended for the duration of such circumstances.

6.10. If force majeure lasts for more than 90 (ninety) calendar days continuously, either Party has the right to terminate the Agreement unilaterally.

7. TERM AND TERMINATION OF THE AGREEMENT

7.1. This Agreement is an adhesion contract under Article 634 of the Civil Code of Ukraine, concluded in electronic form, and is deemed accepted from the moment the Organizer accepts a Bet from the Player.

7.2. The Agreement is concluded for an indefinite period and remains in force until terminated in accordance with its provisions, Ukrainian law, or the Organizer’s Rules.

7.3. The Player may terminate this Agreement at any time by submitting a request to block their Personal Account. Upon termination initiated by the Player, the remaining electronic monetary substitutes on their Game Balance will be returned in accordance with the Agreement and the Organizer’s Rules.

7.4. The Organizer may unilaterally terminate this Agreement and block the Player’s Personal Account in the following cases:

1. violation of this Agreement, the Organizer’s Rules, or Ukrainian law, particularly laws on anti-money laundering and gambling regulation;

2. submission of false information during identification (verification);

3. detection of multiple accounts (multi-accounting);

4. fraudulent actions, manipulation, or unauthorized access attempts to the Organizer’s system;

5. other cases specified by this Agreement or law.

7.5. If the Player is inactive for 12 consecutive months, the Organizer may block the Player’s Account and treat the Game Balance as bad debt, written off according to the Organizer’s accounting policy.

7.6. Blocking the Personal Account or terminating the Agreement does not exempt the Player from obligations incurred before the termination.

8. OTHER PROVISIONS

8.1. Each Party warrants that it has all necessary rights, powers, and legal capacity to enter into this Agreement and fulfill its obligations.

8.2. All provisions of this Agreement, including the Organizer’s Rules, Privacy Policy, AML/KYC Policy, and Responsible Gaming Policy, are an integral part of it and binding on the Parties.

8.3. All legal relations arising under this Agreement are governed by Ukrainian law, including but not limited to:

• The Constitution of Ukraine;

• The Civil Code of Ukraine;

• The Law of Ukraine "On State Regulation of Activities on Organizing and Conducting Gambling";

• The Law of Ukraine "On Personal Data Protection";

• The Law of Ukraine "On Prevention and Counteraction to Legalization (Laundering) of Criminal Proceeds, Terrorist Financing, and the Financing of the Proliferation of Weapons of Mass Destruction";

• The Tax Code of Ukraine;

• and other legal acts.

8.4. The invalidity of any individual provision of this Agreement does not affect the validity of the remaining provisions. If any clause is found invalid, the Parties shall replace it with one that best reflects the original intent and purpose.

8.5. The Organizer may amend this Agreement unilaterally at any time. Changes become effective upon publication on the Website.

8.6. Continued participation in gambling after changes take effect constitutes full acceptance of those changes by the Player.

8.7. If the Player disagrees with the new terms, they must stop participating in the Organizer’s gambling activities.

8.8. All communications, claims, or inquiries regarding this Agreement should be sent by email to: [email protected], or by other means specified on the official Website.

8.9. This Agreement is written in Ukrainian. In the event of discrepancies between the Ukrainian version and translations, the Ukrainian version prevails.
